What are the key costs you need to budget for? In this article, myLIFE outlines the most common costs facing anyone setting up a company. Some will apply to all businesses, others depend on the type of business and the legal form you have chosen.<\/p>\n<h2 id=\"h2_0\" >The share capital of the company<\/h2>\n<p>One of the initial costs is of course the company\u2019s share capital. It is made up of the cash or contributions in kind made by the company\u2019s shareholders. The capital must be paid into a bank account opened in the name of the company, which is then frozen until the company is incorporated. The minimum amount of share capital for the most common structures in Luxembourg is:<\/p>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li><strong>EUR\u00a01<\/strong> (up to EUR\u00a012,000) of fully paid up capital (i.e. paid into the bank account) for <a href=\"https:\/\/my-life.lu\/en\/five-questions-about-the-sarl-s-21021\/\" target=\"_blank\" rel=\"noopener\"><span style=\"text-decoration: underline;\"><strong>an SARL-S (soci\u00e9t\u00e9 \u00e0 responsabilit\u00e9 limit\u00e9e simplifi\u00e9e)<\/strong><\/span><\/a> \u2013 a Luxembourg simplified limited company;<\/li>\n<li><strong>EUR\u00a012,000<\/strong> of fully paid up capital for <a href=\"https:\/\/my-life.lu\/en\/starting-a-company-limited-liability-company-or-sole-proprietorship-20011\/\" target=\"_blank\" rel=\"noopener\"><span style=\"text-decoration: underline;\"><strong>an SARL (soci\u00e9t\u00e9 \u00e0 responsabilit\u00e9 limit\u00e9e)<\/strong><\/span><\/a> \u2013 a Luxembourg limited company;<\/li>\n<li><strong>EUR\u00a030,000<\/strong> with at least one quarter fully paid up for an SA (soci\u00e9t\u00e9 anonyme) \u2013 a Luxembourg public limited company.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><strong>\u2192 Useful info<\/strong>: in the event of contributions in kind (buildings, machines, etc.) to the share capital, you must use the (paid) services of an independent auditor to assess their value before the company is incorporated.<\/p>\n<p>There is no minimum share capital requirement when setting up <a href=\"https:\/\/my-life.lu\/en\/starting-a-company-limited-liability-company-or-sole-proprietorship-20011\/\" target=\"_blank\" rel=\"noopener\"><span style=\"text-decoration: underline;\"><strong>a sole proprietorship in your own name<\/strong><\/span><\/a>.<\/p>\n<blockquote><p>The entrepreneur must pay stamp duty (droit de chancellerie) of EUR 50 in order to obtain a business permit.<\/p><\/blockquote>\n<h2 id=\"h2_1\" >Administration fees for incorporation<\/h2>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li><strong>Stamp duty for the business permit<br \/>\n<\/strong>In Luxembourg, a <a href=\"https:\/\/guichet.public.lu\/en\/entreprises\/creation-developpement\/autorisation-etablissement\/autorisation-honorabilite\/autorisation-etablissement.html\" target=\"_blank\" rel=\"noopener\"><span style=\"text-decoration: underline;\"><strong>business permit<\/strong><\/span><\/a> is required in order to exercise any commercial or artisan business and certain professional activities. To obtain this, the new entrepreneur must meet certain professional integrity and qualification criteria for the relevant activity and pay stamp duty of EUR 50. In addition, there is a charge for some of the documents required for the application, depending on the entrepreneur\u2019s situation: a declaration of non-bankruptcy before a notary, inscription in the relevant register of certificates, etc.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li><strong>Notary fees<br \/>\n<\/strong>A notary visit is required to incorporate an SARL or SA. The notary is responsible for drawing up the articles of association and filing these with the Luxembourg Trade and Companies Register (RCS). They range from EUR 10 to EUR 106 depending on the legal form of the company. It is advisable to check whether the brand name or company name is available before incorporation by requesting a \u201cCertificate of trade name availability\u201d from the <a href=\"https:\/\/www.lbr.lu\/mjrcs\/jsp\/IndexActionNotSecured.action?FROM_LANGUAGE_CHANGE=true&amp;loop=1&amp;time=1750943117700\" target=\"_blank\" rel=\"noopener\"><span style=\"text-decoration: underline;\"><strong>Luxembourg Business Registers (LBR)<\/strong><\/span><\/a>. The rental costs will depend on location, size and the type of premises (office, store, workshop, etc.).
